1. Contracting Parties and Scope of Application

Lynx Group GmbH, Kaiserstuhlstrasse 2, 8154 Oberglatt, Switzerland, registered in the Commercial Register of the Canton of Zurich under CHE-230.130.559, represented by Ron Tiso, Managing Director.

These GTC apply to all deliveries and services provided by Lynx Group GmbH ("Lynx Group") to customers in Switzerland and the EU. Deviating terms and conditions of the customer shall only apply with written consent.

Contract Language: German is binding; English versions are for orientation purposes.

EU VAT ID: DE368919532. EORI: none. UK VAT: none.

2. Offer, Conclusion of Contract, and Contract Text

Product specifications (material, dimensions, workmanship, illustrations) are subject to change. The order constitutes an offer; the contract is formed upon written order confirmation (email suffices) or delivery.

Storage of Contract Text: The Lynx Group does not store the contract text. Customers must secure order data/order confirmation independently.

3. Prices, Taxes, Packaging, and Shipping

The prices shown on the day of the order apply. All price indications are subject to change and non-binding until written confirmation. Prices are quoted, if indicated, inclusive of statutory VAT.

Customs/Taxes EU: Standard DAP (Incoterms 2020); import duties and local VAT are borne by the customer, unless otherwise agreed in writing.

Packaging: Standard packaging (crate, pallet, foil, carton) becomes the property of the customer; no pallet deposit.

Shipping Method: Freight carrier "curbside delivery." Optional carrying in/assembly for an additional charge.

Shipping Costs: Switzerland according to flat rates; EU according to zones or individual quotation starting from approx. 70 kg (indicated in quotation/OC).

4. Delivery, Storage, Force Majeure

Receipts are generally processed on the next business day. Delivery periods according to the order confirmation; indicative values per product. Storage/shipping depending on the product from central warehouses in Italy or the Netherlands.

Unavailability/Supply Bottlenecks: Customers will be informed immediately; deadlines are extended appropriately. Force majeure (e.g., raw material shortages, strikes, official decrees, natural events, transport disruptions) may lead to delays. In cases of impossibility not attributable to the Lynx Group, withdrawal with reimbursement of payments already made is possible.

5. Partial Deliveries

Generally, no partial deliveries. Deviations only by prior written agreement.

6. Transfer of Risk

B2C: Transfer of risk upon handover to the consumer.

B2B: Transfer of risk upon handover to the forwarding agent/carrier.

Collection at the registered office/warehouse: Transfer of risk upon handover.

7. Acceptance, Inspection, and Notification of Defects

Upon receipt, inspect the delivery for transport damage, quantity, and obvious defects and document them (photos). Arrange for a note of "subject to reservation" on the freight document.

Deadlines: B2C within 7 calendar days, B2B within 3 business days, reported in writing (with evidence). Mandatory consumer rights remain unaffected.

8. Right of Withdrawal (EU Consumers)

EU consumers are entitled to a right of withdrawal of 14 days from receipt of the goods. Exceptions: Custom-made products (e.g., bespoke outdoor kitchens) and goods that are unsuitable for return for health or hygiene reasons if the seal has been removed.

Return Costs: Borne by the consumer.

Reimbursement: Purchase price including standard outbound shipping costs (excluding express) within 14 days of receipt of goods or proof of return, using the same means of payment.

Depreciation: Compensation for loss of value if use extends beyond mere inspection.

Return Process/Return Address: Occurs exclusively via the RMA process; return address communicated via email (EU warehouse Italy/Netherlands; if unavailable, CH address).

9. Statutory Warranty (Defect Rights)

Statutory warranty applies. B2C: 24 months from delivery. B2B: 12 months from delivery. Primarily subsequent performance (rectification or replacement). If unsuccessful or unreasonable: Reduction in price or—except for insignificant defects—withdrawal.

10. Voluntary Guarantees

10-year guarantee on Theiss Avers and Valsot carcases (material/manufacturing defects). Details/exclusions/procedure according to the guarantee certificate. Manufacturer guarantees for other components apply supplementarily. Statutory rights remain unaffected.

11. Warranty Exclusions and Material Tolerances

No warranty for improper use, natural wear and tear/aging, unauthorized modifications, non-adherence to installation/care/usage instructions, or weather-related changes within material-typical tolerances. Minor deviations in natural/material-typical surfaces (color, texture, feel) are considered contractually compliant, provided specifications are met.

12. Liability

Unlimited for intent, gross negligence, and personal injury. In cases of simple negligence, liability only for breach of essential obligations, limited to the contractually foreseeable damage and a maximum of the order value. Liability for indirect damages/lost profit is excluded to the extent legally permissible. Product liability remains unaffected.

13. Payment

Generally, advance payment; other payment methods according to checkout/quotation. Default according to local law; reasonable reminder fees possible.

14. Retention of Title

Goods remain the property of Lynx Group until full payment. Registration in countries with corresponding registers is possible. B2B: Advance assignment of claims from resale up to the invoice amount to Lynx Group.

15. Cancellation by Customer

Prior to production release: Cancellation flat rate of at least 20% of the total amount plus incurred costs (planning, transport, procurement).

After production release for custom-made items: No withdrawal; costs already incurred or arising must be fully borne. Release time: written approval of the final specification/drawing/OC.

16. Installation, Commissioning, Acceptance

Installation only upon separate commissioning. To be provided by the building owner: electricity, gas, water, ventilation/load-bearing capacity/connection points according to data sheets. Optional acceptance protocol after installation.

17. Usage Rights and References

Plans, CAD data, and renderings only for quotation/project; transfer to third parties only with consent. Project photos/references only with customer opt-in.

18. Data Protection

Processing according to GDPR and Swiss data protection law. Details (data categories, purposes, legal bases, storage durations, recipients, third-country transfers, rights) in the privacy policy:

19. Online Dispute Resolution, Law, and Jurisdiction

ODR Platform: https://consumer-redress.ec.europa.eu/

Lynx Group is not obliged and generally not prepared to participate in alternative dispute resolution proceedings before a consumer arbitration body, unless legally required.

Applicable Law/Jurisdiction: Swiss law applies for B2B and B2C; the place of jurisdiction is the registered office of the Lynx Group. Mandatory consumer protection regulations and any mandatory places of jurisdiction at the consumer's domicile remain unaffected.

20. Final Provisions

Electronic Communication: Legally relevant notices may, to the extent legally permissible, be sent by email. Formal requirements remain reserved.

Severability Clause: If a provision is invalid, the validity of the remaining provisions remains unaffected; the invalid provision shall be replaced by a valid regulation that comes closest to its economic purpose.

Offer Validity: Offers are valid for 30 days unless stated otherwise. No minimum order value.

Information on Right of Withdrawal for EU Consumers

Right of Withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason. The period begins on the day on which you or a third party named by you, who is not the carrier, has taken possession of the goods.

Exceptions

The right of withdrawal does not apply to goods that are not prefabricated and for the manufacture of which an individual selection or determination by you is decisive or which are clearly tailored to your personal needs, as well as to goods that are unsuitable for return for reasons of health protection or hygiene if their seal has been removed after delivery.

Consequences of Withdrawal

We shall reimburse all payments, including the most favorable standard delivery costs, immediately and no later than 14 days from the date of receipt of your declaration of withdrawal. We may refuse reimbursement until we have received the goods back or until you have provided proof that you have returned the goods. The refund will be made using the same means of payment.

Return

You must return the goods within 14 days of withdrawal via the RMA process to the return address provided to you (EU warehouse Italy/Netherlands; alternatively CH address). You bear the direct costs of the return.

Loss of Value

You only have to bear the cost for any loss in value of the goods if this loss in value is due to handling the goods in a manner not necessary to ascertain the nature, characteristics, and functioning of the goods.
